1. Key definitions

“Rights Holder” means Individual Entrepreneur Georgii Vladimirovich Ilin (ИП Ильин Георгий Владимирович), INN 732400661649, OGRNIP 311730609800015, unless the relevant dataset rights are later assigned or licensed to another entity under a written agreement.

“Continental People” means the business name and operating label used by the Rights Holder for dataset production, licensing, delivery administration and related services. Continental People is not a separate legal entity unless a specific Order Record, invoice, statement of work or delivery record identifies a separate authorized legal entity.

“Licensor” means the Rights Holder or another authorized legal entity identified in the applicable Order Record, invoice, statement of work or delivery record as the party granting access to the Dataset. Unless another authorized entity is expressly identified, the Licensor is the Rights Holder.

“Authorized Commercialization Entity” means a legal entity that has been authorized in writing by the Rights Holder to market, license, sublicense, deliver, administer or commercialize a Dataset. No such entity is assumed unless it is identified in an applicable Order Record, invoice, statement of work, delivery record or written notice.

“Order Record” means the approved request, quote, order form, invoice, statement of work, delivery record, acceptance certificate or other written/electronic record identifying the recipient, package, price or payment route, accepted license, package version and delivery status.

“Payment Route” means the payment method, invoice issuer, platform, external project route or payment recipient identified in the applicable Order Record or invoice. Use of a Payment Route does not make that payment provider, platform or intermediary the Rights Holder or Licensor unless expressly stated in writing.

“Recipient” means the approved person or organization receiving access to the Dataset under this License.

“Permitted Users” means the Recipient’s employees, contractors, advisors or affiliates who require access for a permitted internal use and are bound by confidentiality and restrictions at least as protective as this License.

“Raw Dataset” means the delivered video files, frames, audio files where applicable, crops where applicable, metadata, manifests, checksums, documentation and other direct dataset package materials supplied by or on behalf of the Licensor.

“Derived Outputs” means models, model weights, embeddings, annotations, metrics, reports, statistics and outputs created from the Raw Dataset that do not reproduce, reveal, identify, clone or reconstruct raw media, participant likeness, participant voice or participant-level information.

2. Dataset package covered

This License covers only the CP FaceMotion-16 v1.0 evaluation sample package.

Expected sample facts:

  • one sample-only participant;
  • 64 accepted clips;
  • 32 prompts;
  • 2 controlled lighting conditions;
  • R01 only in the sample package;
  • 1080p sample prepared;
  • full-size sample clips may be prepared where separately delivered;
  • synchronized wireless lavalier audio;
  • no camera backup audio in the sample;
  • QA passed, with 0 reported validation failures.
  • This License does not cover the full commercial CP FaceMotion-16 package, any 4-participant progress package, any 16-participant package or any custom/staged delivery unless a separate commercial license/order document is accepted.

    3. Permitted evaluation uses

    The Recipient may use the sample internally only for:

  • technical evaluation;
  • procurement review;
  • internal testing;
  • pipeline compatibility checks;
  • annotation or metadata review;
  • audiovisual synchronization inspection;
  • sample playback and quality assessment;
  • deciding whether to request a commercial FaceMotion package or custom collection.
  • The Recipient may review and play the synchronized video/audio internally for evaluation purposes.

    The Recipient may run internal non-production evaluation tests, provided that the sample is not used to train, fine-tune or improve production models, commercial products, voice systems, identity systems or deployed services.

    Evaluation sample term and end-of-term obligations

    The evaluation sample term is 90 days from controlled delivery unless extended in writing by the Licensor.

    At the end of the evaluation sample term, the Recipient must stop using the sample, delete or securely quarantine all Raw Dataset sample materials, and stop any new internal evaluation using the sample.

    The Recipient may retain internal evaluation notes, procurement notes and non-identifying metrics only if they do not expose raw media, participant-level information, recognizable frames, participant voice, transcript content or substantially equivalent reconstructions.

    The Recipient may request a commercial license or written extension before or after the sample term expires. No commercial rights are granted by expiration, continued possession or silence.

    4. Uses not permitted under this sample license

    The Recipient must not:

  • use the sample for commercial model training, fine-tuning or production deployment;
  • use the sample to create, improve or ship a commercial product;
  • use the sample to train, tune, evaluate for deployment or improve voice-cloning, impersonation, identity, facial-recognition, biometric, speaker-identification or surveillance systems;
  • redistribute, publish, sublicense, sell, mirror, upload or transfer the sample;
  • include the sample in a public dataset, public benchmark, public repository, model hub, torrent, public drive or public collaboration folder;
  • publish raw clips, frames, audio, transcripts, face crops, mouth crops, eye crops, contact sheets or substantially equivalent reconstructions;
  • contact, locate, identify, profile or attempt to identify any participant.
  • 5. Prohibited identity, biometric, voice and inference uses

    The sample must not be used for:

  • facial recognition;
  • biometric identification;
  • identity verification;
  • identity search;
  • surveillance;
  • watchlist creation;
  • tracking of a person;
  • speaker identification;
  • voiceprint creation;
  • emotion scoring;
  • personality inference;
  • attractiveness or beauty scoring;
  • health, ethnicity, income, political, religious, sexual-orientation or other sensitive-trait inference;
  • voice cloning;
  • synthetic voice cloning;
  • synthetic clone creation;
  • deceptive impersonation;
  • fraud;
  • harassment, exploitation, sexualized or defamatory use.
  • 6. Crops and raw materials

    Any delivered face, eye, mouth, upper-body, speech-related or other derived crops are Raw Dataset materials and are subject to the same restrictions as the original videos and audio.

    7. Internal sharing

    The Recipient may share the sample only with Permitted Users who need access for an approved evaluation purpose.

    The Recipient remains responsible for all use, misuse, copying, storage, disclosure and deletion failures by Permitted Users.

    8. Ownership and outputs

    The sample is licensed, not sold. The Rights Holder or authorized Licensor retains rights in the sample, source media, participant likeness, participant voice, documentation, manifests and related materials.

    The Recipient owns its original internal evaluation notes and metrics, provided they do not expose raw media, participant-level information, identifiable reconstructions, speech/audio reproductions or prohibited uses.

    9. No warranties and limitation of liability

    The sample is provided as-is and as-available for evaluation only.

    To the maximum extent permitted by applicable law, the Licensor is not liable for indirect, incidental, special, consequential, exemplary or punitive damages, loss of profits, loss of data, loss of goodwill, loss of business opportunity or model-performance claims.

    The Licensor’s aggregate liability relating to the sample is limited to 100 USD, except where mandatory law does not allow that limitation.

    Order terms and commercial documents

    If an Order Record, invoice, quote or statement of work is issued, that document defines price, payment route, package version, delivery milestone, delivery method and any special commercial terms for that order.

    If there is a conflict between this License and an Order Record, the Order Record controls only for order-specific commercial and administrative details such as price, payment route, invoice details, billing entity, delivery milestone and support contact.

    The following terms remain mandatory unless expressly amended in writing by the Rights Holder or authorized Licensor: prohibited uses, raw-data restrictions, participant protections, security obligations, confidentiality, deletion/quarantine obligations, sanctions/export restrictions and limits on transfer.

    Authorized commercialization entities

    The Rights Holder may appoint, replace or authorize an Authorized Commercialization Entity for licensing, sublicensing, billing, delivery administration, customer support, enforcement or commercialization of the Dataset.

    If a Licensor different from the Rights Holder is identified in an Order Record, invoice, statement of work or delivery record, that Licensor represents that it has been authorized by the Rights Holder to license, sublicense, deliver and administer the relevant Dataset within the scope of that document and this License.

    Such appointment or designation does not permit the Recipient to use the Dataset beyond the scope of this License.

    Recipient transfer restrictions

    The Recipient may not assign, transfer, sublicense, sell, lease, lend or otherwise transfer this License or any Dataset access rights, including by merger, reorganization, asset sale, change of control or affiliate transfer, without prior written consent from the Licensor, except where mandatory law provides otherwise.

    Independent responsibility for privacy and data protection

    The Recipient acts as an independent user and, where applicable, independent controller of the Raw Dataset for its own purposes. The Recipient is not acting as the Licensor’s processor, and no joint controllership is intended, unless a separate written DPA or data-sharing agreement expressly states otherwise.

    The Recipient is independently responsible for its lawful basis, notices, risk assessment, security controls, data-subject-rights handling and compliance with privacy, AI, consumer, employment, export, sector-specific and other applicable laws.

    If an enterprise customer requires a DPA, data sharing addendum, processor/controller allocation or security schedule, it must be agreed separately before delivery.

    Sanctions, export controls and restricted parties

    The Recipient represents that it is not a sanctioned party, is not acting for a sanctioned party and is not located in a jurisdiction where delivery or use of the Dataset would be prohibited by applicable sanctions, embargoes, export controls or trade restrictions.

    The Recipient must not use, transfer, provide access to, export, re-export, resell or otherwise make the Dataset available in violation of applicable sanctions, export controls, embargoes or restricted-party rules.

    The Licensor may refuse, delay, suspend, revoke or terminate access if a sanctions, export, restricted-party, payment, banking or compliance risk appears.

    Third-party AI, cloud and SaaS tools

    The Recipient must not upload Raw Dataset materials to public AI tools, consumer AI systems, public cloud notebooks, hosted model-training platforms, annotation platforms, SaaS tools or other third-party systems unless the Recipient has a private enterprise or equivalent agreement ensuring confidentiality, no provider training on the Raw Dataset, no public exposure, access controls and use restrictions at least as protective as this License.

    The Recipient remains responsible for all third-party tools, subcontractors, cloud services, contractors and Permitted Users used in connection with the Dataset.

    Indemnity

    To the extent permitted by applicable law, the Recipient must defend, indemnify and hold harmless the Rights Holder, Licensor, Authorized Commercialization Entity and their contractors, representatives and participants from claims, losses, penalties, damages, liabilities, costs and reasonable legal expenses arising from the Recipient’s prohibited use, misuse, unlawful processing, unauthorized redistribution, public upload, security failure, breach of this License, breach by Permitted Users or use outside the accepted Order Record.

    Security incident notice

    The Recipient must notify the Licensor promptly if it becomes aware of unauthorized access, copying, disclosure, loss, public upload, misuse, breach, suspected leak or security incident involving the Dataset.

    Audit and cooperation

    The Recipient must keep reasonable internal records of Dataset access, Permitted Users, package version, storage location, delivery date, deletion/quarantine actions and relevant security incidents.

    The Licensor may request reasonable cooperation to verify compliance, investigate misuse, process a participant-related restriction, confirm deletion/quarantine, respond to legal requests or address a security incident. Cooperation must be proportionate and may include written confirmation, access logs, deletion confirmation, quarantine status or other reasonable evidence, while respecting the Recipient’s confidential information and security obligations.

    Brand, names and endorsements

    No rights are granted to use the Continental People name, branding, website content, dataset names, logos, trade dress, sales materials or marketing materials except as expressly allowed in writing.

    The Recipient must not imply endorsement, partnership, certification, sponsorship or approval by Continental People, the Rights Holder, Licensor, any participant or any visible third-party brand.

    Governing law and venue

    This License is governed by the laws of the Russian Federation, subject to mandatory rules that apply to the Recipient and cannot be excluded by agreement.

    Unless mandatory law provides otherwise, disputes are subject to the competent court at the place of registration of the Rights Holder or the Licensor identified in the applicable Order Record.
